1.1. This document is an official public offer (proposal) by Media Sphere Publishing House Limited Liability Company (hereinafter referred to as the "Contractor" or the "Publisher"), represented by General Director Nina V. Nemtsova, acting on the basis of the Charter, and is addressed to any individual or legal entity (hereinafter referred to as the "Customer" or the "Buyer") to enter into a contract for the sale of publishing products under the terms set forth below.
1.2. Full and unconditional acceptance (acceptance) of the terms of this offer is the Customer's payment for the Goods in accordance with the procedure established by this Agreement.
1.3. Acceptance of the offer creates a public offer agreement (hereinafter referred to as the "Agreement") under the terms published on the Contractor's Website as of the payment date.
1.4. The Contractor has the right to unilaterally amend this Agreement without prior notice to the Customer. Amendments take effect from the moment of publication on the Website.
2.1. Website – the Contractor's website located at: https://www.mediasphera.ru/ (hereinafter, the "Website"), which contains information about the Goods and the conditions for their purchase.
2.2. Goods – a list of publishing products available for order on the Website:
- Subscription to printed versions of the Publisher's journals for a specified period (half-year, year);
- Subscription to electronic versions of journals (access to PDF archives and new issues);
- Individual issues of journals in printed and/or electronic form;
- Individual articles in electronic form;
- Books (monographs, textbooks, clinical guidelines) in printed and/or electronic form.
2.3. Electronic version of Goods – file(s) in PDF format provided to the Customer for download or viewing in their Personal Account/ via email after payment.
2.4. Personal Account – a closed section of the Website, access to which is granted to the Customer after registration and authorization, allowing them to manage subscriptions, track orders, and access electronic content.
3. Subject of the Agreement
3.1. The Contractor undertakes to transfer ownership of the Goods selected by the Customer on the Website to the Customer, and the Customer undertakes to accept and pay for the Goods in accordance with the procedure and terms established by this Agreement.
3.2. This Agreement governs relations regarding the distance selling of Goods (Article 26.1 of the Law of the Russian Federation "On the Protection of Consumer Rights").
4.1. To place an Order, the Customer must register on the Website, providing accurate contact information (full name, email address, phone number, delivery address for printed publications).
4.2. An Order is considered placed after the Customer:
- has added selected Goods to the cart;
- has selected a delivery method (if applicable);
- has confirmed agreement with the terms of this Offer by ticking the box "I have read and agree to the terms of the public offer agreement";
- has clicked the "Pay" button.
5.1. Prices for Goods are indicated on the Website in Russian Rubles, including VAT.
5.2. The cost of a subscription to a printed publication, as well as the cost of delivery for books and individual issues, includes delivery within the territory of the Russian Federation, unless otherwise stated on the Website.
5.3. Payment is made via non-cash methods using bank cards (Visa, MIR) or through electronic payment systems available on the Website.
5.4. The Customer's payment obligations are considered fulfilled from the moment funds are credited to the Contractor's or payment agent's bank account.
6.1. After receiving payment confirmation, the Contractor shall, within 24 hours (unless otherwise specified in the Goods description), send the Customer:
- a link to download the electronic version of the book/article/issue to the email address provided during registration;
- and/or grant access to the materials in the Customer's Personal Account.
6.2. When purchasing an electronic subscription to a journal:
- Access is granted for the period specified in the Order (one year or half a year).
- The Customer receives access to all issues of the journal for the subscription period as they are published.
- Access to archival issues (from previous periods) is provided according to the general terms indicated on the Website (issues published more than one year prior to the current date are moved to open access and become available to all registered users, regardless of subscription status).
- After the subscription period expires, access to new issues ceases; however, access to previously downloaded files (if the Customer saved them on their devices) remains.
6.3. Printed publications (subscription journals, books, individual issues) are sent to the Customer via a delivery service (Russian Post) within 10 business days from the date of payment (for individual issues) or from the release date of the journal according to the journal's publication schedule established by the Publisher.
6.4. Ownership of printed publications passes to the Customer at the moment the Goods are handed over to the delivery service.
7.1. The Contractor undertakes to:
- Provide the Customer with complete and accurate information about the Goods (title, authors, year of publication, ISSN, ISBN, abstract).
- Ensure 24/7 access to the Personal Account and purchased electronic Goods (except during scheduled maintenance).
- Deliver printed products of appropriate quality.
7.2. The Customer undertakes to:
- Ensure the security of their account credentials (login, password) for accessing the Personal Account. The Contractor is not responsible for unauthorized access by third parties if such access occurred due to the Customer's fault.
- Not transfer access to purchased electronic Goods to third parties.
- Comply with copyright laws. Electronic versions of journals, articles, and books are provided for personal, non-commercial use. Copying, distribution, resale, or public posting of files without the Contractor's written permission is prohibited.
8.1. The Customer has the right to cancel ordered Goods at any time before payment. After payment, cancellation is possible in accordance with applicable law and this Agreement.
8.2. For printed products of proper quality (books, journals, individual issues):
8.2.1. In accordance with the List of Non-Food Products of Proper Quality Not Subject to Return or Exchange (approved by Decree of the Government of the Russian Federation No. 2463 dated December 31, 2020), printed products (books, brochures, magazines, individual issues) of proper quality are not subject to return or exchange.
8.2.2. Return of printed products is possible only if defects are discovered (printing defects, damaged pages, binding defects, mismatch with the ordered edition). In this case, the Customer has the right to demand replacement of the Goods or a refund of the amount paid in accordance with Article 18 of the Law "On the Protection of Consumer Rights."
8.2.3. To return printed products of improper quality, the Customer must, within 7 (seven) days of receiving the Goods, send a written notice to the Contractor, attaching photographs confirming the defects. After agreement, the Goods shall be returned at the Contractor's expense.
8.3. For printed products purchased by subscription:
8.3.1. Subscription cancellation is possible by sending a written application to the Contractor's email address.
8.3.2. In case of subscription cancellation before the start of the subscription period (before the release of the first issue in the period), funds are refunded in full, minus any actual expenses incurred.
8.3.3. In case of subscription cancellation after the start of the subscription period, a refund is made proportionally to the unexpired subscription period, minus the cost of already sent issues and actual delivery expenses incurred. The sent issues are non-returnable, as they are printed products of proper quality.
8.4. For electronic versions of Goods (files, content access):
8.4.1. In accordance with the List of Non-Food Products of Proper Quality Not Subject to Return or Exchange, goods containing digital content (audiovisual works, computer programs, databases) of proper quality are not subject to return or exchange.
8.4.2. A refund for electronic Goods is possible only if access was not provided, the provided file does not match the description (technical defect, inability to open the file), or the Customer has not started using it (downloading/viewing). In this case, the Customer must notify the Contractor within 24 hours of receiving the link.
8.5. Refunds are made to the bank card or account from which the payment was made within 10 (ten) business days from the date the Contractor makes a decision on the refund.
9.1. The Contractor shall not be liable for non-performance or improper performance of obligations under the Agreement if caused by actions of third parties, force majeure circumstances, as well as malfunctions in telecommunication networks not owned by the Contractor.
9.2. The Customer is responsible for the accuracy of information provided during registration and order placement (especially regarding the delivery address). Resending of printed products due to the Customer's fault (incorrect address, failure to collect from the post office) is carried out at an additional cost.
9.3. Disputes under this Agreement shall be resolved through a claim procedure. The claim review period is 10 (ten) business days. If no agreement is reached, the dispute shall be submitted for consideration to the court at the Contractor's location in accordance with the applicable laws of the Russian Federation.
